These Terms & Conditions (“Terms”) govern participation in the Gaia Ambassador Referral Program (“Program”) provided by Gaia Marketplace Inc., the platform, and its affiliates, (“Company,” “we,” “our,” or “us”). By participating, you (“Ambassador,” “you,” “your”) agree to these Terms.
1. Eligibility
To participate, you must: – Be at least 18 years old. – Have an active social media account including X (Twitter) account in good standing. – Submit accurate account information. – Not be a resident of a restricted jurisdiction subject to sanctions or regulatory prohibitions. – Not engage in activities that violate laws, regulations, or these Terms.
The Company may approve or reject any applicant at its sole discretion.
2. Nature of Relationship
Ambassador participates as an independent contractor, not an employee, agent, partner, broker, financial advisor, or representative of the Company.
Ambassador must not: – Provide investment advice. – Make financial promises or performance claims. – Hold themselves out as a Company employee or agent. – Solicit investments or funds on behalf of the Company. – Act as a broker, dealer, or placement agent.
Ambassador’s activities must focus on marketing, education, content creation, and user acquisition, not solicitation of investments.
3. Permitted Promotional Activities
Ambassador may: – Share referral links. – Create educational or promotional content. – Repost Company content. – Promote the platform’s features and brand mission. – Encourage account creation and KYC verification.
Ambassador must include appropriate disclaimers such as: – “Not financial advice.” – “I may receive compensation if you sign up using my link.”
4. Prohibited Activities
Ambassador must not: – Promise investment returns, dividends, income, or financial guarantees. – Misrepresent the Company, its products. – Run paid ads leading to the referral link without written approval. – Engage in spam, bot activity, or fake engagement. – Use incentivized or fraudulent KYC methods. – Encourage users to create duplicate, fake, or non-compliant accounts. – Promote in jurisdictions where such promotion is restricted or illegal. – Use misleading content, deceptive tactics, or unfair practices.
Violations may result in immediate removal and forfeiture of unpaid rewards.
5. Compensation Structure
Ambassadors may earn: – Cash rewards per verified (KYC-approved) account. – CPM-based rewards for validated impressions. – Milestone bonuses based on verified user volume. – Monthly performance bonuses.
Compensation is subject to change with notice.
The Company may require: – Proof of impressions or analytics. – Verification of legitimate user activity. – Additional documentation for payouts.
Compensation is solely for marketing activities, not investment solicitation. Company might change compensation without any notice at their sole diresction.
6. Payment Terms
• Payments are made monthly in USD, USDT, or another approved method.
• Ambassador must provide accurate payment details.
• Company may withhold or adjust payments for fraud, violations, or disputes.
• Taxes are the responsibility of the Ambassador.
7. Referral Tracking
Tracking is performed via referral links, UTM codes, and manual review.
Company does not guarantee tracking accuracy due to: – Cookie blocking. – Link tampering. – VPN use. – Fraud or abuse.
Company’s determination of valid referrals is final.
8. Termination
Company may suspend or terminate participation at any time for: – Terms violations. – Fraud or suspicious activity. – Harmful actions or reputational risk. – Inactivity.
Upon termination: – Unpaid bonuses may be forfeited. – Referral links must be discontinued. – Ambassador loses access to private groups and materials.
Ambassador may withdraw voluntarily at any time.
9. Intellectual Property
Company grants a limited, revocable license to use approved logos, media, and branding.
Ambassador may not alter or misuse Company intellectual property.
10. Confidentiality
Ambassador agrees not to disclose confidential information including: – Internal updates. – Performance data. – Bonus structures. – Private partner opportunities.
11. No Investment Advice
Ambassador acknowledges: – Gaia provides access to tokenized real estate and RWA products. – Ambassador may not provide financial advice or recommendations. – Ambassador’s role is limited to education and marketing of Gaia.
12. Limitation of Liability
The Company is not liable for: – Ambassador-created content. – Damage from Ambassador’s actions. – Lost profits or indirect damages. – Tracking errors.
